Terms of engagement
These terms summarise how we work. A short written scope, which forms the agreement for each project, takes precedence over anything here.
Scoping and quotes
After an initial conversation we provide a written scope describing what will be built, what is excluded, and a fixed price excluding GST. Work outside the scope is quoted separately. Quotes are valid for 30 days.
The prototype
Before payment we build and demonstrate a working prototype of the core feature described in the scope. The prototype is a demonstration of capability, not the finished product; it remains our property and is hosted by us until payment for the build is received. One prototype is offered per business per project. We may decline to proceed with a project after scoping.
Payment and delivery
On acceptance of the prototype, the build price becomes payable (in full, or in stages for larger projects as set out in the scope). We then complete the build, hand it over and provide training. Invoices are due within 14 days.
Ownership
On payment in full, you own the code, design and content produced for you, excluding third-party components and our pre-existing tools, which are licensed to you for use with the product. Until payment, all materials remain ours.
Hosting and support
Hosting, backups, monitoring and support are provided under an optional monthly plan, which either party may end with 30 days' notice. On ending a plan we will hand over hosting or code as appropriate. Products we operate on your behalf (for example AI receptionists) require a monthly plan to run.
Your responsibilities
You'll give us timely access to the information, systems and people needed to do the work, and you're responsible for the accuracy of content and data you supply. You confirm you have the right to use any material you give us.
Confidentiality
We keep your business information confidential and use it only to deliver the work. We may name you as a client and describe the work in general terms unless you ask us not to.
Third-party services
Products we build may rely on third-party services (for example hosting, email delivery, SMS, payment gateways or AI providers). Those services are subject to their own terms and fees, which we'll identify in the scope. We are not responsible for outages or changes on their side but will help you work around them.
Late payment and suspension
If an invoice is more than 14 days overdue we may pause work or suspend hosted services after giving notice, and resume when the account is settled.
Warranty and liability
We will fix defects in our work reported within 30 days of delivery at no charge. To the extent permitted by law, our liability is limited to the amount paid for the work concerned. Nothing here excludes rights under the Australian Consumer Law.
Governing law
These terms are governed by the laws of New South Wales, Australia. We may update them from time to time; the version in force when a scope is signed applies to that project.
